Uma Shankar’s role as a Nominee Director was instituted by a Ministry of Corporate Affairs order in October 2022, following a 2019 Supreme Court direction that led to a new independent-style board. The company’s note explains that MCA (Appointing Authority) issued an order on March 25, 2026, intimating her resignation to Unitech Limited. The resignation email dated March 7, 2026 is attached as Annexure-1, and the MCA order is enclosed as Annexure-2. The company has attributed the resignation to personal reasons and stated there are no other material factors.

In a related note accompanying the correspondence, the MCA letter also references Ms. Rasika Chaube’s expressed unwillingness to join the board due to her current duties with the Armed Forces Tribunal. While the board transition unfolds, Unitech emphasized its commitment to complying with applicable statutes and acknowledged a delay in filing the disclosure, attributing it to an oversight. As the conglomerate navigates this phase, the leadership shuffle underscores ongoing governance recalibrations that come with the era of government-nominated board members.
