Tilaknagar Industries appoints two independent directors to bolster board governance

Tilaknagar Industries Ltd. is reshaping its board room dynamics with the appointment of two independent directors, effective October 30, 2026, for a three-year term, subject to shareholder approval within three months. The company’s board meeting, held on that Friday, also noted the cessation of two long-serving independent directors after completing their second consecutive term and announced a fresh round of board committee realignment that takes effect from October 31, 2026. The moves signal a careful governance refresh as Tilaknagar continues to execute its strategy in a complex, highly regulated beverages landscape.

The company has named Shailesh Sadashiv Tinaikar, a retired lieutenant general, and Sanjay Saxena, a former senior police administrator, as Additional Independent Directors. Tinaikar, whose career spans leadership roles in the Indian Army, United Nations peacekeeping operations, and governance advisory work with UNHCR, brings a track record in governance, risk management, and large-scale organizational leadership. Saxena, a retired IPS officer and ex-Director General of Police, offers deep experience in internal security, investigations, crisis management, and risk governance. While the appointments are for non-executive, independent governance roles, they are framed to strengthen strategic oversight across the group’s ambitious portfolio moves.

In line with the new appointments, Tilaknagar’s board has reconstituted its key committees. As of October 31, 2026, Tinaikar joins the Audit Committee as a member while also taking the chairmanship of the Nomination and Remuneration Committee, alongside existing members. Saxena steps in as Chairman of the Stakeholders Relationship Committee, with other directors continuing in their roles. The refresh also marks the end of Maj Gen Dr. Dilawar Singh (Retd) and Satish Chand Mathur’s terms, with the company expressing appreciation for their guidance. The updated committee structure underscores Tilaknagar’s emphasis on governance and stakeholder engagement as it advances its strategic agenda—complementing ongoing initiatives in its expanding premium spirits portfolio and post-acquisition integration efforts.
