JHS Svendgaard Retail Ventures adds two independent directors to board

In a move aimed at strengthening governance, JHS Svendgaard Retail Ventures Limited announced that its board, at a meeting on August 13, 2026, approved the appointment of two individuals as Non-Executive Independent Directors for a five-year term, subject to shareholder approval at the ensuing General Meeting. The appointments come on the recommendation of the Nomination and Remuneration Committee and underscore the company’s effort to bolster independent oversight on the board.

Richa Sood brings a distinctive profile to the board as a seasoned commercial pilot with 25 years in the aviation sector. She holds a Bachelor of Science from St. Bede’s College, Shimla, and is described as possessing strong leadership, disciplined decision-making, and the ability to remain composed under pressure—qualities that can complement governance at a retail-focused company navigating growth and competitive dynamics.

Mukul Pathak adds a finance-oriented dimension to the board, with approximately 28 years in teaching and a broad knowledge of finance garnered through various institutions. The brief profile highlights his extensive experience, interpersonal and communication skills, and sound judgment, positioning him to contribute to the company’s financial governance and strategic discussions.

Beyond the appointments, the board also approved a reconstitution of the Nomination and Remuneration Committee to reflect the new directors’ inclusion. The revised committee includes Sanjay Sital Sangtani (Chairperson), Ankur Garg, Richa Sood, and Mukul Pathak as members. Both new directors are stated to meet independence criteria under applicable law and regulations, and neither is debarred from holding a director’s office.
