Essar Shipping names Subramanian Raman as Independent Director; re-appoints Suresh Ramamirtham; Jayakumar to step down

Essar Shipping Limited announced a governance refresh today, with the board approving the appointment of Subramanian Raman as an Additional Non-Executive Independent Director, effective September 1, 2026. In parallel, the board approved the re-appointment of Suresh Ramamirtham as a Non-Executive Independent Director from the same date, subject to the approval of shareholders. The moves come as Independent Director Jayakumar’s five-year term ends on August 31, 2026, and the board recorded its appreciation for his contributions during his tenure.

Subramanian Raman, a veteran with more than four decades of experience in secretarial matters, compliances, mergers & acquisitions, and investor relations, previously served as Joint-General Manager at Essar before his retirement in 2018. Suresh Ramamirtham brings a broad Essar Group background spanning oil, ports, shipping, construction and solar, with expertise in marketing, operations, HR and finance. He holds an MBA and has pursued certifications in oil and shipping, including petroleum trading and IOC-trained LPG courses.

The board also cleared the planned sale of the Mobile Offshore Semi-Submersible Drilling Rig Essar WildCat, owned by Essar Shipping FZCO (Dubai), subject to shareholder approval, signaling ongoing strategic portfolio considerations. Separately, the company intends to convene its 16th Annual General Meeting on September 30, 2026 via video conferencing or other audio-visual means, with a cut-off date of September 23, 2026 and a member-register closure from September 24 to September 30, 2026 (both days inclusive).
