Bliss GVS Pharma pivots governance as promoter group takes control; three new directors join board while MD Kamath steps down

Bliss GVS Pharma Limited is steering into a new chapter of governance as its promoter group tightens control over the company. Following the completion of the transaction outlined in the share purchase agreement and open offer, Anupam Rasayan India Limited (the Purchaser) and Mates Visa Consultancy Private Limited (the PAC) have collectively acquired a 47.95% stake in Bliss GVS and now hold promoter status. This change in control signals a shift in the strategic and governance lineup at Bliss GVS as the new promoters prepare to guide the company’s next phase of growth.

In a move to bolster the board with fresh governance perspectives, the company announced the appointment of three additional directors who will join Bliss GVS as Non-Executive Non-Independent Directors with effect from September 28, 2026. Hetul Krishnakant Mehta, Amar Dilip Shah, and Pramod Badrinarayan Kasat bring a mix of industrial, commercial, and financial acumen to the table. Mehta is an entrepreneur with deep roots in pharmaceutical manufacturing and regulatory expertise, Shah brings a track record in sales and strategic planning across consumer and textile sectors, and Kasat is a seasoned investment banker with extensive experience in structured finance and private credit. Collectively, their profiles reflect a blend of operational insight and strategic oversight that could influence Bliss GVS’s growth trajectory.

The leadership transition also marks the resignation of Narsimha Shibroor Kamath from the role of Managing Director, effective September 28, 2026, in connection with the consummation of the ongoing transactions under the SPA. The board noted Kamath’s resignation in the context of the completed deal and the change in control. In parallel, the board approved a Postal Ballot Notice to seek member approval for the appointment of the three new directors, signaling a measured governance transition aligned with regulatory requirements while the company adapts to its new promoter-led direction.

This governance reshuffle underscores Bliss GVS’s evolution from a management-led organization to one guided by a new promoter-led framework, with an eye toward strengthening strategic execution and aligning with the broader objectives of its new owners.
