Baazar Style Retail Limited expands board with Independent Director and charts renewable-energy growth path

Baazar Style Retail Limited is pivoting its governance and growth agenda with a multi-pronged leadership move. The board has approved the appointment of Binata Sengupta as an Additional Director in the Non-Executive Independent capacity for a three-year term, subject to shareholder approval. Sengupta brings a rich 35-plus years background in banking, having retired as General Manager of Bank of India. The company notes she is not related to any director and satisfies the independence criteria under applicable laws and SEBI regulations. Her appointment signals a strengthening of board independence at a time when the company is charting a more expansive, long-horizon strategy.

In parallel, the reconstituted Audit Committee now comprises Dr. Dhanpat Ram Agarwal as Chairman (Non-Executive Independent Director), Harish Chander Khurana as a Member (Non-Executive Independent Director), and Shreyans Surana as a Member (Executive Director), effective from October 15, 2026. The inclusion of an Executive Director on the committee underscores an integrated approach to governance and oversight, balancing expertise across independent scrutiny and strategic execution.

Beyond governance, Baazar Style Retail Limited unveiled a planned Wholly Owned Subsidiary/SPV to undertake solar power generation and other renewable energy ventures. The proposed entity would be wholly owned by the company, with Baazar Style holding 99.90% of the capital (9,990 shares) and a nominee holding the remaining 10 shares, ensuring 100% beneficial ownership and control. Initial capital is ₹1,00,000, and the subsidiary is positioned to develop, establish, operate, and maintain solar projects and related activities, aligning with the company’s sustainability objectives and long-term growth trajectory.

The meeting also approved the conversion of 20,00,000 Equity Warrants into 20,00,000 Equity Shares at ₹328.25 per share (including premium), allotted to Cupid Limited, a non-promoter corporate investor. The new shares will rank pari-passu with existing equity shares in dividends and voting rights. This move reflects investor confidence and a capital-structuring step aligned with the company’s broader expansion and value creation agenda.
