Baazar Style Retail Limited appoints Binata Sengupta as Independent Director; board reconstitution and renewable-energy push outlined

Baazar Style Retail Limited wrapped up its board meeting on October 15, 2026 with a notable governance move: the appointment of Binata Sengupta as an Independent Director for a three-year term, subject to shareholder approval. Sengupta, a veteran of the banking sector who retired as General Manager of Bank of India, brings decades of experience in regulatory compliance and strategic leadership. The company underscored that she is not related to any existing director and meets the independence criteria.

Beyond the boardroom addition, the company announced a reconstitution of its Audit Committee. The panel will now include Dr. Dhanpat Ram Agarwal as Chairman, with Harish Chander Khurana and Shreyans Surana joining as members, effective October 15, 2026. Surana serves as an Executive Director, indicating a blend of independent oversight and management input in the committee’s oversight of financial reporting and controls.

The board also cleared a strategic step into renewable energy by approving the incorporation of a wholly owned subsidiary to develop solar projects and other renewables. The subsidiary would be housed as a wholly owned vehicle, with a provisional name under consideration (Sunright Private Limited or Sunlight Private Limited), and would be funded through an initial paid-up capital of ₹1 lakh. Baazar Style would hold the majority stake (99.90%), with a nominee holding the remaining 10 shares on its behalf, ensuring full control of the venture.

On the capital markets front, the meeting also approved the preferential allotment of 20 lakh equity shares issued upon conversion of Equity Warrants. The conversion is valued at ₹328.25 per share (including a premium of ₹323.25), bringing in a total of ₹65.65 crore from Cupid Limited, a non-promoter corporate investor. The newly issued shares would rank pari passu with existing stock, and the transaction will be completed from the remaining warrants allotted to investors.
