The company said the board has approved the appointment of A Seshagiri Rao as an Independent Director for a five-year term, effective 6 September 2026, subject to shareholders’ approval. It has also approved C Renuka Rani as an Additional Director designated Independent Director for a term from 6 September 2026 to 30 September 2028, and P Dinakara Rao as an Independent Director for five years from 30 September 2026, again subject to shareholder approval. Additionally, A V Sarma completed his first term and ceased to be an Independent Director on 5 September 2026, along with his roles on various committees.
A Seshagiri Rao brings more than three decades of experience across business development, general administration, and banking and financial services, including leadership roles in branch operations, risk management and credit operations; he retired as Chief General Manager of the State Bank of Hyderabad in 2005. C Renuka Rani, an experienced legal counsel with an LLM from Osmania University, has more than 25 years in contract governance, litigation management, intellectual property, and arbitration, and has served in governance-related capacities such as ethics oversight. P Dinakara Rao, an 81-year-old professional with a post‑graduate degree in applied economics, has a long track record in human resources, personnel development, and corporate banking, including senior leadership in large financial teams.
The changes underscore Kernex’s emphasis on governance and independent oversight as it positions itself for the next phase of growth. While the appointments await shareholder approval, the board’s move signals an intent to bolster strategic governance and risk oversight at the company.
