First, the board approved the appointment of Suresh Kumar as Internal Auditor for the financial year 2026-27. Kumar, who currently serves as the Company Secretary, will transition to the internal audit function following the Audit Committee’s recommendation. The company highlights Kumar’s background as a Company Secretary with about 11 years of secretarial experience and notes his profile within the governance framework, a move that signals deeper alignment between compliance, governance processes, and risk oversight.

Second, the board approved the re-appointment of Sanjeev Aggarwal as an Independent Director (Non-Executive) for a second five-year term, from 13 November 2026 to 12 November 2031, subject to members’ approval at the upcoming AGM. Aggarwal, who runs his own business in sheet metal manufacturing and fabrication, will continue to contribute his industry perspective to the board. Notably, his appointment confirms that he will receive sitting fees as determined by the board and applicable laws.
