TBZ appoints Govindarajulu Rajendran Ananthapadmanabhan as Managing Director amid leadership overhaul

Tribhovandas Bhimji Zaveri Limited is shifting gears on its leadership front in a move aligned with the company’s evolving ownership and governance. The board has approved the appointment of Govindarajulu Rajendran Ananthapadmanabhan as Managing Director for a five-year term starting October 30, 2026, subject to shareholder approval. In a broader reorganization, the board also sanctioned the addition of two Executive Directors to bolster the company’s leadership bench: Govindarajulu Rajendran Ananthapadmanabhan as an Executive Director and Govindarajulu Rajendran Radhakrishnan as an Executive Director, both effective from the same date and contingent on shareholder consent. In a related development, K N Jeethendra Babu was named as Senior Management Personnel designated as Deputy CEO, signaling a sharpened focus on strategic execution and operational leadership at TBZ.

The company also disclosed a governance refresh with the appointment of Govindarajulu Rajendran as a Non-Executive Director, aged 75, to be considered by shareholders under applicable law. Alongside these moves, TBZ’s leadership roster was reshaped by the resignations of long-serving top executives: Shrikant Gopaldas Zaveri ceased to be Managing Director, and Binaisha Shrikant Zaveri and Raashi Shrikant Zaveri resigned from their roles as Whole-Time Directors. The board agreed to transitional arrangements with the outgoing directors and dissolved the Special Committee of the Board as part of the ongoing reorientation.

These leadership changes come on the heels of the company’s sale and acquisition process, in which the Sellers transferred a majority stake (74.12%) to GRT Jewellers (India) Private Limited, culminating in a change of control and TBZ’s status as a subsidiary of the Acquirer. The board noted the de-classification of the former promoter group from TBZ’s promoter category and signaled a broader governance realignment, including the reconstitution of key committees and ongoing stakeholder and risk management oversight as the new leadership takes the reins.
