SML Mahindra appoints K.N. Vaidyanathan as Internal Auditor, signaling governance push

In a move that underscores SML Mahindra Limited’s growing emphasis on governance and risk oversight, the board approved the appointment of K.N. Vaidyanathan as Internal Auditor for the financial year 2026-27. He will take over the internal audit responsibilities from M/s S. Tandon & Associates LLP, whose tenure ended with FY 2025-26. The development comes alongside the company’s disclosure that its audited financial results for the year ended 31 March 2026 were presented with an unmodified opinion, and a final dividend of Rs 23.50 per share was recommended by the board for approval at the upcoming AGM.

K.N. Vaidyanathan, who is currently the EVP & Group Chief Internal Auditor of the Mahindra Group, brings a deep track record in risk and financial governance. He joined the Mahindra Group as Chief Risk Officer in December 2011 and previously served as Executive Director at SEBI, where he oversaw institutional investors’ portfolios. With more than 25 years in financial services, Vaidyanathan holds an MBA from IIM Ahmedabad and a bachelor’s degree in commerce from the University of Madras. His appointment for FY 2026-27 marks a strategic shift in SML Mahindra’s internal controls framework, aligning the company’s audit function with the broader Mahindra governance ecosystem.

The move signals a broader, group-wide emphasis on strengthening internal controls as SML Mahindra navigates a post-restructuring phase and positions itself for growth in its Trucks & Buses segment. The company reported total income of Rs 2,846.24 crore for the year ended 31 March 2026, with a net profit of Rs 159.75 crore, and an earnings backdrop that the board framed alongside its dividend plan and AGM schedule. The 42nd Annual General Meeting is slated for 21 July 2026, with the record date set for 3 July 2026. The board’s decision to bring in an insider of the Mahindra Group for the internal audit function underscores a deliberate push toward heightened governance discipline and seamless risk monitoring across the organization.
