The closing of promoter transfers as part of the ongoing deal has seen Acquirers take on a promoter-facing role and reclassify the Sellers to the public, setting the stage for a refreshed leadership slate and governance structure at the Indian quick-service restaurant operator.

The board acknowledged the resignations of three Non-Executive Non-Independent Directors—Amit Manocha, Roshini Bakshi, and Ajay Kaul—effective with the conclusion of the meeting. In parallel, the company approved the appointment of two new Non-Executive Non-Independent Directors: Madhusudan Bhagwandas Agrawal and Aayush Madhusudan Agrawal, who were nominated by the Acquirers and Inspira Agro Trading LLC (IATL). The appointments are designated as Additional Directors with terms aligned to company policy, pending shareholder approval.

In a further consolidation of leadership, the board named Madhusudan Bhagwandas Agrawal as Chairman, with Tara Subramaniam stepping down from the Chair’s role while continuing as a Board member and Independent Director.
