Optiemus Infracom Limited has signaled governance continuity by re-appointing two independent directors for a fresh five-year term. The Board, on the recommendation of its Nomination and Remuneration Committee, approved the re-appointment of Gauri Shankar and Rakesh Kumar Srivastava as Independent Directors for a period from April 1, 2027 to March 31, 2032, subject to shareholder approval at the ensuing Annual General Meeting. The move underscores the company’s emphasis on stable oversight as it steers its strategy across its technology and unmanned systems footprint.
Gauri Shankar brings nearly five decades of experience in finance and banking, with a career that spans leadership roles at Punjab National Bank, including a tenure as Executive Director, and senior positions at Bank of India. His deep exposure to governance, risk management, treasury, and regulatory compliance is poised to contribute to Optiemus Infracom’s financial stewardship and strategic risk oversight.
Rakesh Kumar Srivastava is a seasoned corporate governance professional, a Fellow Member of the Institute of Company Secretaries of India, and holds an M.Com and LL.B. He has held senior governance and secretarial roles across multiple firms and currently serves as Managing Director of Rana Corporate Advisors Private Limited and as an Independent Director on the Metropolitan Stock Exchange of India Limited, among other board positions. His background in governance, regulatory matters, and corporate planning complements the board’s mandate for robust fiduciary oversight.
In a related development, the board also approved a capital move involving Optiemus Unmanned Systems Private Limited, the company’s wholly owned subsidiary, by subscribing to a 56 lakh equity share issue on a right basis. This alignment of resources with strategic subsidiaries illustrates the board’s broader ambition to strengthen balance sheets, fund growth initiatives, and sustain long-term value creation for stakeholders. The 33rd AGM is scheduled for September 28, 2026, with the usual formalities to follow.
