Monte Carlo Fashions reinforces leadership with renewed MD, executives and independent directors ahead of AGM

Monte Carlo Fashions Limited has moved to shore up its leadership bench, with a board-approved slate that locks in continuity at the top while expanding governance depth. In the August 5, 2026 board meeting, the company said it has re-appointed Jawahar Lal Oswal as Chairman and Managing Director for a further five-year term starting August 10, 2026, subject to shareholder approval at the upcoming AGM. Alongside him, the board reaffirmed the roles of two other long-tenured executives: Ruchika Oswal and Monica Oswal will continue as Executive Directors for five years from August 10, 2026, again pending shareholder consent. Monica Oswal’s tenure is underscored by her prior experience in branding and retail, including a stint as CEO – Retail at Oswal Woollen Mills Limited before joining Monte Carlo.

The leadership refresh also extends to the boardroom with two Independent Directors being renewed for a second five-year term. Manikant Prasad Singh, a veteran IAS officer with broad governance and taxation expertise, and Parvinder Singh Pruthi, a former senior civil servant with a strong track record in governance and regulatory compliance, will continue as Non-Executive Independent Directors from February 1, 2027, through January 31, 2032. Their re-appointments aim to bolster governance and strategic oversight as the company pursues its longer-term plans.

Beyond governance, the board green-lighted a strategic investment involving MCFL Energy Projects Private Limited, a wholly-owned subsidiary formed to pursue solar energy initiatives under the PM Kusum-C Scheme. The move signals Monte Carlo’s interest in integrating renewable energy into its growth trajectory while maintaining control through its subsidiary structure. The company notes that the 18th AGM is scheduled for September 28, 2026, at 11:00 AM via Video Conferencing/Other Audio Visual Means, with the terms of the appointments requiring shareholder approval at that meeting.
