Indegene loses board member as stake sale by Brighton Park Capital triggers resignation

Indegene Limited announced that Mark Francis Dzialga, a Non-Executive – Non Independent Director, has tendered his resignation from the board, effective at the close of business on October 29, 2026. The move comes in the wake of Brighton Park Capital and its affiliated investment vehicles exiting their entire stake in the company. Alongside his board departure, Dzialga will cease to be a member of Indegene’s Nomination and Remuneration Committee and Investment Committee from the same date.

In his resignation letter, Dzialga stated that there are no disagreements with the company over its operations, governance standards, or otherwise; the change appears to be a consequence of the ownership transition rather than any strategic misgivings. The company has acknowledged the decision and noted that appropriate steps will be taken to reflect the change in its governance structure and communications.

As ownership dynamics shift, Indegene’s board will welcome the evolving composition while continuing to focus on its strategic priorities. The company signalled that it would update stakeholders accordingly and ensure disclosures and governance records align with the new leadership configuration on its platforms.
