Coforge clears path for board reshuffle after independent director DK Singh resigns; interim chair to lead international search

Coforge Limited is navigating a leadership transition as it loses a long-standing independent voice on its board. The company disclosed that DK Singh, the Non-Executive Independent Director and Chairperson of the Nomination and Remuneration Committee, has resigned with immediate effect. The note to exchanges states there is no other material reason beyond what he outlined in his resignation email, and that he will cease to be a member of the company’s board committees.

In the short term, Coforge named Vivek Sharma as interim Chair through January 31, 2027, and tasked him with leading a global search for additional independent directors. Sharma will also oversee the process of electing a new Board Chair, balancing the input of both existing and newly appointed directors. The board has also reconstituted its Nomination and Remuneration Committee (NRC) and Stakeholders’ Relationship Committee (SRC), designating Beth Boucher as the new Chair of the NRC.

Annexures attached to the disclosure recount governance concerns flagged by internal audit regarding the Board evaluation process and communications. The company says the concerns stemmed from how evaluation findings were shared, and it stresses that the board, including independent directors, had worked in close cooperation since 2024. The note highlights several strategic milestones during that period, including divestment of the AdvantageGo business, the exit from the data centre business, the Encora acquisition, the Sabre contract, and the decision to exit the loss-making India Government business. Coforge says the board remains aligned and committed to pursuing strategy with integrity and transparency, even as it navigates this period of leadership change.
