BGR Energy: Chairperson Sasikala Raghupathy resigns as AoA lays groundwork for Arjun Govind Raghupathy as successor

BGR Energy Systems Limited has announced that Sasikala Raghupathy has tendered her resignation from the posts of Chairperson and Non-Executive Non-Independent Director, with effect from September 30, 2026. In addition to stepping down from the chair, she will cease to be a member of the Nomination and Remuneration Committee and to chair the Corporate Social Responsibility Committee.

The company notes that the resignation letter has been received and the accompanying disclosure includes the detailed reason for stepping down. Across the communication, it is stated that the resignation is not due to any disagreement with the Board on matters relating to the company’s operations, and no material reason beyond what is stated in the resignation letter has been cited.

Annexure-A to the disclosure references an amendment to the Articles of Association at the Annual General Meeting held on 22 September 2026. The amendment provides for appointing Mr. Arjun Govind Raghupathy as the Chairperson of the Board, effectively replacing Sasikala Raghupathy. The resignation thus aligns with a boardroom transition enabled by the new AoA provision.

Together, the developments mark a governance transition at BGR Energy, signaling strategic leadership reshaping at the top as the board welcomes a new chair while the departing chair concludes a long tenure.
