Coforge sees board-level churn as independent director resigns; Beth Boucher named NRC chair; Vivek Sharma named interim chair

Coforge Limited today signaled a significant shift at the top of its governance framework, as the company disclosed the resignation of Non-Executive Independent Director and NRC Chair DK Singh with immediate effect. The move follows ongoing governance changes that included the earlier departure of Chairman OP Bhatt, underscoring a period of transition for a board that has lately steered through strategic shifts and acquisitions. The board emphasized that there was no other material reason beyond the email resignation and that it will now undertake a broad search for additional independent directors to bolster oversight and independence.

To steer the governance reset, the board has appointed Vivek Sharma as interim Chair through January 31, 2027. In this interim role, Sharma will lead a global search for new independent directors and oversee the process of electing a new Chair, leveraging his governance background with listed companies to guide the board through this period of change.

In parallel, Coforge has reconstituted its Nomination and Remuneration Committee (NRC) and Stakeholders’ Relationship Committee (SRC), naming Beth Boucher as Chairperson of the NRC. The changes reflect the board’s ongoing efforts to strengthen governance, underscored by the note that the former NRC Chair’s resignation followed governance-related discussions prompted by an internal governance review.
