Gujarat Narmada Valley Fertilizers and Chemicals Limited is reinforcing its board with the appointment of Mamata Biswal as a Non-Executive Independent Director, effective August 20, 2026. The board, acting on the Nomination and Remuneration Committee’s recommendation, approved the appointment through a circular resolution for a first term of three consecutive years, from August 20, 2026 to August 19, 2029, pending the approval of the company’s members at the upcoming AGM.
Biswal is described as a Professor of Law and ICSSR Senior Research Fellow at Gujarat National Law University, bringing more than 25 years of teaching and research to the boardroom. Her credentials include a Ph.D. in Law, an LL.M. in Commercial (Corporate and Business) Law, and a B.Sc. (Honours), along with UGC-NET qualification. She has served as a Visiting Scholar at the University of Illinois, Urbana-Champaign, and has been involved in a wide array of capacity-building and governance-related programs for government and judiciary training bodies.
GNFC notes that Biswal has affirmed her independence under the Companies Act and Listing Regulations, and that there are no SEBI debarments. Her appointment is a signal of the company’s intent to enhance independent oversight and governance as it charts its strategic priorities. The move also marks a broader trend of academia stepping into board roles to bolster governance with academic rigor, risk oversight, and policy insight.
