Asian Paints appoints Leo Puri as Independent Director, with planned future chairmanship

Asian Paints has named Leo Puri as an Independent Director, effective 7 September 2026. The board, acting on the recommendation of the Nomination and Remuneration Committee, approved the appointment for a five-year term, subject to shareholders’ approval via postal ballot. The development signals a measured step in refreshing governance with an independent voice at the table.

According to the plan disclosed by the company, Mr. Puri is set to assume the chairmanship of the Board from 23 January 2027, upon the completion of the term of the current Chair and Independent Director, R. Seshasayee, on 22 January 2027. The arrangement underscores a structured leadership transition as Asian Paints moves forward on its strategic agenda.

The shareholders’ approval for the appointment was conveyed via a postal ballot conducted remotely, with the voting window closing on 6 November 2026. The company notes that Mr. Puri meets the independence criteria under the Companies Act, 2013 and applicable Listing Regulations, and that he is not related to any directors, KMP, or promoter group, nor debarred from holding office. To the best of the company’s knowledge and Mr. Puri’s affirmation, he is eligible to serve as a director without impediment.

This milestone reflects Asian Paints’ approach to governance—infusing seasoned, independent judgment at the highest level while planning for continuity in leadership. As the company charts its next phase, the incoming director’s independence is positioned to contribute to strategic oversight and long-term value creation for shareholders and stakeholders alike.
