NRB Bearings reshuffles governance as Independent Director’s term ends and NRC gains a new chair

NRB Bearings Limited is nudging its governance levers as it convened its board on November 4, 2026 to take stock of leadership changes and governance refresh. The company disclosed that Independent Director Rustom Desai will complete two consecutive five-year terms and, as a result, shall cease to hold office as an Independent Director with effect from the close of business hours on January 22, 2027. The move marks the end of a tenure period that the board describes as a period of steady guidance, and NRB Bearings extended its appreciation for Desai’s contributions during his tenure.

In tandem with the tenure transition, the board undertook a reconstitution of the Nomination and Remuneration Committee (NRC). The new NRC lineup designates Bapsy Dastur as Chairperson, with Jayavardhan Dhar Diwan and Tashwinder Singh as Members. The reshuffle signals a deliberate refresh of committee leadership, aimed at sustaining oversight continuity and strategic governance as the company pursues its growth agenda across its global footprint.

Beyond the personnel reshaping, the board also advanced a broader governance and policy agenda. Amendments to Environmental, Ethics, Human Rights, Whistle Blower, Occupational Health and Safety, and Non-Discrimination and Equal Opportunity policies were approved, alongside the adoption of new policies centered on Sustainability, Biodiversity, Labour, and Sustainable Procurement. These steps underscore NRB Bearings’ intent to align governance practices with evolving standards and stakeholder expectations while supporting its long-term sustainability objectives.

Taken together, NRB Bearings’ latest moves reflect a disciplined approach to governance—ensuring tenure-based transitions on the board while injecting fresh committee leadership and an expanded policy framework to guide the company’s strategic priorities as it navigates international markets and ambitious growth plans.
