SH Kelkar strengthens board with independent-director renewals and appointment of Sumedha Karmarkar

SH Kelkar and Company Limited, a Mumbai-based fragrance maker, signaled a strategic refresh of its board as it announced a set of leadership moves alongside its latest quarterly results. In a filing to the exchanges, the company said the Board, at its meeting on November 2, 2026, approved the unaudited standalone and consolidated financial results for the quarter and six months ended September 30, 2026, and also cleared a slate of director-related decisions designed to bolster governance and oversight.

Notably, the Board approved the re-appointment of three Independent Directors for a second term: Deepak Raj Bindra (DIN: 06835196) for five years from December 15, 2026 to December 14, 2031; Vasant Gujarathi (DIN: 06863505) for five years from February 20, 2027 to February 19, 2032; and Neela Bhattacherjee (DIN: 01912483) for five years from May 25, 2027 to May 24, 2032. The recommendations, originating from the Nomination and Remuneration Committee, underscore the company’s intent to sustain governance continuity as it navigates a growth trajectory in its core fragrance and flavor business.

In a parallel move, the Board approved the appointment of Sumedha Karmarkar (DIN: 06899598) as an Additional Director (Non-Executive Non-Independent) with effect from November 3, 2026. Subject to the shareholders’ approval, she will retire by rotation as a Non-Executive Non-Independent Director. Karmarkar brings a long and varied track record in finance and business leadership, including a background as a Chartered Accountant, stints in specialty chemical trade ventures, and ties to SH Kelkar earlier in her career, where she began in accounts and taxation. The changes are framed as part of a broader governance renewal to support strategic execution and financial oversight.

The company’s leadership reshuffle arrives as SH Kelkar reports ongoing execution across its fragrance and flavors segments, with management signaling a continued focus on strengthening the board’s oversight and strategy formulation as it pursues its growth agenda in a competitive consumer goods landscape.
