The board has approved the re-appointment of Rajiv Kumar as a Non-executive, Independent Director for a second three-year term starting 3 May 2027, with the arrangement allowing him to continue in office beyond the age of 75 until the end of the proposed term. In addition, Paras Kumar Chowdhary has been appointed as an Additional Director (Non-Executive, Independent Director) for a three-year term commencing 1 March 2026, also not subject to retirement by rotation and extendable beyond 75 during the term. A postal ballot is being used to secure member approvals for these appointments and related matters.
Dr. Rajiv Kumar brings a prominent governance and policy profile to Firstsource’s board, having served as the Vice Chairman of NITI Aayog and currently involved with think tanks and policy institutions such as Pahle India Foundation and GASP. His broad experience spans academia, government and international institutions, adding a high-caliber, public-sector lens to the company’s strategic oversight. Paras Kumar Chowdhary, by contrast, is a veteran of India’s corporate and industrial sectors, with more than four decades in strategic leadership roles across major groups including CEAT Limited and Apollo Tyres Limited. His board-level experience across multiple conglomerates and his background in economics and policy circles are positioned to inform governance and growth discussions at Firstsource.
The company notes that both appointees are not related to any of the existing directors and are not debarred from holding directorships by SEBI or other authorities. The appointments reflect Firstsource’s ongoing emphasis on governance continuity and board diversification, ensuring experienced oversight as the company navigates its strategic priorities in a competitive market landscape.
