BF Utilities names Ajay Charuchandra Kirtane as Independent Director

BF Utilities has quietly shuffled its governance a notch higher with the appointment of Ajay Charuchandra Kirtane as an Additional, Non-Executive Independent Director. The move, approved by the board via circular resolution on September 7, 2026, sets him on a five-year term from September 7, 2026 to September 6, 2031, and awaits shareholder consent through a postal ballot. The development signals the company’s intent to strengthen independent oversight as it charts its capital and strategic path.

Kirtane, a qualified Cost and Works Accountant, brings more than three decades of experience in financial management, debt syndication, mergers and acquisitions, and private equity. He is noted as the founder and associate member of the Shah & Kirtane management consultancy, a firm he led prior to retiring on March 31, 2025. The appointment is positioned as bringing an external governance voice to the board, with scrutiny of financial strategy and capital allocation in mind.

BF Utilities also confirmed that Kirtane is not related to any other director on the board and that he has not been debarred by SEBI or any other authority, aligning with standard governance checks disclosed in the notice.
