Lorenzini Apparels Limited tweaks board governance as two Independent Directors resign; committees reconstituted

Lorenzini Apparels Limited has announced a leadership shift on its board, with two Independent Directors resigning from the company with immediate effect. Yogesh Kumar and Ajay stepped down due to personal circumstances and increased commitments, respectively, signaling a pivot in the governance profile as the company navigates its next phase.

In the wake of these departures, the board reconstituted its key committees to maintain oversight and balance. Ish Sadana, an Additional Non-Executive Independent Director, has been appointed as the Chairman of the Audit Committee and is also guiding the Nomination and Remuneration and Stakeholders Relationship Committees alongside fellow directors. The refreshed Audit Committee now comprises Ish Sadana (Chairman), Monam Kapoor (Member), Sandeep Jain (Executive Director), and Sapna Khanna (Non-Executive Independent Women Director).

Similarly, the Nomination and Remuneration Committee has been reconstituted with Ish Sadana as Chairman, joined by Monam Kapoor, Rajit Sehgal (Non-Executive Non-Independent Director), Sapna Khanna, and Sandeep Jain. The Stakeholders Relationship Committee also sees Ish Sadana leading as Chairman/Member, with Rajit Sehgal, Sapna Khanna, and Sandeep Jain as members. Taken together, the changes reflect a measured governance refresh aimed at sustaining boardroom balance and reinforcing oversight as the company advances its strategic priorities.

Overall, the moves underscore Lorenzini Apparels Limited’s emphasis on governance continuity and independent oversight as leadership edges evolve, ensuring a stable foundation for upcoming strategic decisions while incorporating fresh perspectives on the board’s committees.
