MPS Limited reappoints Karthik Bhat Khandige as Independent Director and reshapes board committees

MPS Limited is signaling a renewed focus on governance with a board-level refresh. At a meeting held on 29 July 2026, the company announced the re-appointment of Karthik Bhat Khandige as an Independent Non-Executive Director for a second five-year term, effective 30 July 2026 and ending 29 July 2031, subject to shareholder approval through a Special Resolution. The move underscores a continuity of independent oversight as the company charts its next phase of growth.

The board also noted the completion of Ms. Ruvina Singh’s tenure as an Independent Non-Executive Director at the close of business on 29 July 2026. In recognition of her contributions, the directors extended their appreciation for her guidance and governance commitments during her tenure. The changes pave the way for a reconstituted committee structure designed to sharpen governance and decision-making.

Concurrently, the board reconstituted its key committees with a mix of continuity and new oversight. The Nomination and Remuneration Committee (NRC) will feature Divya Verma as Chairperson, with Karthik Bhat Khandige joining as a Member alongside Jayantika Dave. The Stakeholders’ Relationship Committee (SRC) adds Atul Vohra as a Member, while Suhas Khullar continues as Chairperson. Rahul Arora remains a Member-Executive Director. The Corporate Social Responsibility (CSR) Committee will include Divya Verma as a Member, with Rahul Arora as Chairperson and Jayantika Dave as a Member. The leadership moves are aimed at reinforcing independent oversight while aligning with the company’s strategic priorities.

Beyond the governance reshuffle, the company also highlighted the background of the reappointed director. Karthik Bhat Khandige is the Founder and Managing Partner of Force Ventures, with over two decades in investment and business leadership, including roles at Zephyr Peacock India Fund, Dailyhunt, and Ubiquity Capital. An alumnus of ISB with a CFA and CA qualification, his track record in nurturing high-growth ventures adds a depth of governance and strategic insight to MPS Limited’s board as it pursues its growth agenda.
