Rossell Techsys Proposes Re-appointment of Independent Directors to Strengthen Board Governance

Rossell Techsys Limited is signaling governance continuity as it moves to re-appoint two Independent Directors for a fresh three-year term, subject to shareholder approval at the forthcoming Annual General Meeting. The board has recommended the re-appointment of Arvind Ghei and Shobhana Joshi, with their terms stretching from 3 September 2026 to the conclusion of the AGM in 2029. The move underscores the company’s emphasis on strengthening independent oversight as it charts its next phase of growth.

Arvind Ghei brings a long arc of leadership experience spanning finance, hospitality, and strategic consulting. His career includes senior finance roles such as CFO of Fern Hotels and the Mars Group, along with the role of Joint Managing Director for Asia Pacific Hotels (Taj Group). He has also contributed to governance through roles on boards such as Woodstock School in Mussoorie, where he chaired Finance and Audit committees, reflecting a track record of financial stewardship and strategic oversight.

Shobhana Joshi’s background reflects deep public-sector governance and defense finance expertise. With a 37-year tenure in the Government of India, she served as Secretary (Defense Finance) and has extensive exposure to budgetary scrutiny, procurement, and policy. An alumnus of the National Defence College and Harvard Kennedy School, she is a founder and Co-Chairperson of SAMDeS, a leading aerospace, maritime, and defense think tank, highlighting a pedigree of policy oriented leadership alongside financial scrutiny.

Independent directors are widely viewed as anchors of governance, providing critical checks and balances, especially in areas of risk management, capital allocation, and strategic direction. The proposed re-appointments at Rossell Techsys suggest a deliberate move to reinforce non-executive oversight while the company navigates its growth trajectory and evolving market dynamics. Shareholders will deliberate on these recommendations at the AGM, with the outcome shaping the board’s ongoing stewardship.
