Zen Technologies taps Kishore to board and re-appoints Choudari as Whole Time Director; extends QIP timeline

Zen Technologies Limited signals a governance refresh with a two-pronged leadership move. In a meeting held on July 25, 2026, the company approved the appointment of Jasthi Krishna Kishore as an Additional Director and as a Non-Executive Independent Director for a term of three consecutive years, subject to shareholders’ approval. Kishore brings a deep background in taxation and finance, having served as Chief Commissioner of Income Tax before his retirement in 2024, and currently sits on several boards as an independent director. The company noted that he is not debarred from holding directorships, aligning with governance norms for boardroom appointments.

Zen Technologies also moved to strengthen its executive leadership by re-appointing Shilpa Choudari as a Whole Time Director for a period of three consecutive years, effective from November 1, 2026, again subject to shareholder approval. Choudari has been with Zen since 2009 and oversees key functions including finance, production and human resources. She is also the spouse of Ashok Atluri, the Chairman and Managing Director of the company, underscoring a tightly knit leadership team.

In a related governance note, the board approved extending the timeline for utilising unutilised QIP proceeds by 24 months, from August 23, 2026 to August 22, 2028, with no change to the stated objects of the placement. The extension signals a measured approach to deploying capital for inorganic growth, strategic initiatives and general corporate purposes while keeping the original aims intact.
