Powerica Limited appoints Rabindra Nath Nayak as Non-Executive Independent Director, reshuffles board committees

Powerica Limited is refreshing its board with the appointment of Rabindra Nath Nayak as an Additional Director in the category of Non-Executive Independent Director, effective April 21, 2026 for a five-year term, subject to shareholder approval via postal ballot. The move accompanies the board’s acknowledgement of the resignation of Independent Director Maheswar Sahu, effective April 16, 2026, and the directors’ expression of gratitude for his contributions during his tenure. In the wake of these changes, the board has reconstituted its key governance committees to maintain oversight across the company’s expanding agenda.

The Audit Committee will comprise Udaya Jena (Chairman, Independent Director), Sunil Lobo (Member, Independent Director), Tapan Ray (Member, Independent Director), and Jai Ram Oberoi (Member, Whole-time Director). The Nomination and Remuneration Committee will be led by Sunil Lobo (Chairman, Independent Director) with Udaya Jena (Member, Independent Director) and Sawmya Chaturvedi (Member, Independent Director). For Corporate Social Responsibility, the Committee is chaired by Bharat Oberoi (Managing Director) with Jai Ram Oberoi (Member, Whole-time Director) and Sunil Lobo (Member, Independent Director).

Rabindra Nath Nayak brings a distinguished public-sector leadership background, having served as the Chairman & Managing Director of Power Grid Corporation of India Limited (PGCIL), a Maharatna company. With about 39 years of experience across central public sector undertakings in the power sector, Nayak has led large teams and supervised significant organizational turnarounds. His tenure at PGCIL encompassed generations spanning generation, transmission, distribution, and manufacturing, and included the introduction of advanced technologies such as high-voltage grid developments and smart-grid initiatives. The appointment underscores Powerica’s emphasis on experienced governance leadership as it navigates its Generator Set and Wind Power businesses.
